By signing up for an account on this website, any of our websites and/or services, you are deemed a merchant and agree to these Merchant Terms of Service (the Agreement). PLEASE READ THESE MERCHANT TERMS OF SERVICE CAREFULLY BEFORE SIGNING UP AS A MERCHANT. If you do not agree to any or all of these Terms of Service, DO NOT USE THIS SITE!
Age Restriction
The Services are not directed to individuals under the age of eighteen (18), and we request that they do not provide Personal Data through the Services.
Intellectual Property
Unless otherwise stated, Seerbit and/or its licensors own the intellectual property rights and materials on the website subject to the license below. We do not grant you any right, license, title or interest to any of our intellectual Property rights which you may or may not have access to. Seerbit will only permit the display of its trademarks, logos, signs, acronyms and insignia on the merchant’s websites or any material or medium for the advertisement, publicity and promotion of the solution and strictly in connection with the use of the solution, with prior written consent.
License to Use Our Website
We grant you a non-assignable, non-exclusive and revocable license to use the software provided as part of our services in the manner permitted by these Terms. This license grant includes all updates, upgrades, new versions and replacement software for you to use in connection with our services. The services are protected by copyright, trademark, and other laws of both Nigeria and foreign countries. Nothing in this Terms gives you a right to use the Seerbit ‘s name or any of Seerbit's trademarks, logos, domain names, and other distinctive brand features. All rights, title and interest in and to the services will remain the exclusive property of Seerbit and its licensors. If you do not comply with all the provisions, then you will be liable for all resulting damages suffered by you, Seerbit and all third parties. Unless otherwise provided by applicable laws, you agree not to alter, re-design, reproduce, adapt, display, distribute, translate, disassemble, reverse engineer, or otherwise attempt to create any source code that is derived from the software. Any feedback, comments, or suggestions you may provide to us and our services is entirely voluntary and we will be free to use such feedback, comments or suggestion as we see fit without any obligation to you.
Merchant Service Agreement
- This Agreement is entered into on a non-exclusive basis.
- The Merchant shall, in relation to this agreement, engage in advertising and marketing initiatives which do not violate any applicable laws, public policy or morality and which do not reflect negatively upon the business reputation of SEERBIT.
- The Merchant agrees that SEERBIT may run further checks on the Merchant’s identity, creditworthiness and background by contacting and consulting relevant registries and governmental authorities or any other relevant sources.
- On an ongoing basis, the Merchant shall promptly provide SEERBIT with the current address of each of its offices/stores.
- If a Chargeback occurs for a Transaction in respect of which the Merchant already received a Payout of the related funds, this will result in the conditional obligation for the Merchant to immediately return the remitted funds to SEERBIT after a reconciliation has been conducted between the Merchant and SEERBIT;
- The Merchant shall ensure that its platform is not used as an avenue for fraud or fraudulent transactions.
- The Merchant shall ensure to carry out a thorough Know-Your-Client (KYC) process for its customers.
- The Merchant shall ensure that it does not use the platform to process payments for Casinos, Casino gaming chips, off-track betting, wagers at racetracks, and illegal gambling.
- The Merchant shall promptly notify SEERBIT within seven days if there is a change of address of any and each of its offices/stores. Failure to comply will be regarded as a material breach of this agreement.
- The Merchant agrees to maintain its chargeback within a maximum threshold of 0.4% as specified by SEERBIT. SEERBIT reserves the right to suspend or terminate services under this agreement if the merchant’s chargebacks exceed this threshold.
- The Merchant agrees to respond to claims of chargebacks logged on the dashboard within 24 hours of notification. A response may include – accepting the chargeback, issuing a full or partial refund directly to the customer, or declining by submitting documented evidence supporting the transaction’s legitimacy. The chargeback may be automatically accepted if the Merchant does not respond within the specified timeframe.
- The Merchant covenants to perform regular reconciliation of payments received and communicate discrepancies as regards glitches to SeerBit as soon as possible.
- The Merchant shall only utilize SEERBIT and by extension SEERBIT’s APIs for processing transactions related to its stated business activities. The merchant shall also ensure it notifies SEERBIT by written communication if it is desirous of processing transactions arising from business activities not stated prior to the execution of this Agreement.
- The Merchant is prohibited from utilizing SEERBIT and, by extension, SEERBIT’s APIs for processing transactions arising from business activities that violate any national laws, regulations or card scheme rules.
- The Merchant shall remain liable for all obligations arising from its transactions during and after the termination of this Agreement.
- The Merchant agrees to promptly inform SEERBIT in the event of a Service Downtime as contained in the Definition section of this Agreement and the same shall be rectified in accordance with the resolution timeframe stated in this Agreement. However, to ensure that SEERBIT can meet the resolution timeframe outlined in this Agreement and provide support in the most efficient manner, Merchant agrees, in addition to using its reasonable efforts to provide SEERBIT with all relevant information reasonably necessary for SEERBIT to respond and Merchant’s general cooperation:
a. To conduct a prompt reconciliation of Accounts/payments which can aid in the discovery of a service Downtime;
b. To conduct regular reconciliation at least four (4) times per day, for Transactions between zero and five hundred (0-500) per day. Where the number of Transactions on any given day surpasses five hundred (500), reconciliation should be done at least ten (10) times a day;
c. To use reasonable efforts to diagnose and resolve problems in the operation of the Merchant’s Platform prior to contacting SEERBIT;
d. To explicitly state and, without unnecessary delay, inform SEERBIT of the arising issue and what immediate action is required; and
e. To collaborate with SEERBIT to return support requests to reasonable levels if SEERBIT deems that the merchant’s support requests exceed reasonable or typical levels. The Merchant must use commercially reasonable efforts to notify SEERBIT of any problems with the Services promptly.
f. The Merchant acknowledges that SEERBIT’s ability to provide timely and effective support is dependent on the Merchant’s compliance with the obligations set out in this Clause. Accordingly, SEERBIT shall not be held liable for any delays, failures to resolve issues within the specified timeframe, or any resulting losses, to the extent that such delays, failures, or losses arise from the Merchant’s failure to fulfill its obligations under this Clause.
- The Merchant agrees to indemnify, defend, and hold harmless SEERBIT, its affiliates, officers, directors, agents, employees and suppliers from and against any lawsuit, claim, liability, loss, penalty or other expense (including attorneys’ fees and cost of defence) they may suffer or incur as a result of;
a. The Merchant's material breach of this Agreement or any other agreement the Merchant enters into with SEERBIT or its suppliers in relation to the Merchant’s use of the Services;
b. The Merchant’s materially improper use of the Services; and/or
c. The Merchant’s violation of any applicable law.

- Adult content or services, including platforms hosting or monetizing sexually explicit material,
- User-generated content platforms facilitating or promoting 18+ content
- Misrepresentation of business model or intended use of services at onboarding
- Any activity that may expose SeerBit to reputational risk, regulatory scrutiny, or card scheme violations, whether or not explicitly listed
- Violation any law, statute, ordinance or regulation;
